1. About Our Services

Ako na po provides digital solutions for businesses, which may include:

• Website design and development
• AI-powered inbox and inquiry automation
• Business systems and workflow automation
• Digital marketing and advertising services
• CRM setup and integration
• Technical support, maintenance, and related services

The exact services, deliverables, fees, and timelines will be described in the applicable proposal, quotation, service agreement, or subscription plan.

2. Orders and Engagements

A service engagement begins when the client accepts a proposal, completes the required payment, or otherwise confirms the engagement in writing.

We reserve the right to decline an engagement where the requested service is outside our capabilities or scope.

Any work outside the agreed scope may require additional fees and a revised timeline. Additional work must be approved by the client before it begins.

3. Fees and Payments

All fees will be communicated before the client commits to a service.

Depending on the selected service, payment may include:

• One-time setup or project fees
• Initial deposits or milestone payments
• Monthly subscription or retainer fees
• Additional fees for out-of-scope work
• Third-party software, hosting, advertising, or usage charges

Unless otherwise agreed in writing, invoices are payable by the stated due date.

The client is responsible for any third-party charges associated with their chosen services, including advertising spend, software subscriptions, messaging platforms, hosting, domains, and API usage.

4. Subscription Terms

Subscriptions are billed according to the selected plan and billing arrangement.

By subscribing, the client authorizes Ako na po to charge the agreed recurring fee using the selected payment method, where recurring billing is supported.

Subscription services remain active while the subscription is paid and in good standing.

We may suspend or restrict services for overdue payments, suspected abuse, or violations of these Terms.

5. Subscription Cancellation

Clients may cancel a subscription by sending written notice to our designated contact email.

A minimum of thirty (30) days’ written notice is required for all subscription cancellations.

The notice period begins when Ako na po receives the cancellation request.

The client remains responsible for subscription fees and other applicable charges during the notice period. If a billing date falls within the notice period, the applicable payment remains due.

Cancellation will take effect after the required notice period has elapsed, unless otherwise agreed in writing.

Submitting a cancellation request does not automatically stop payments or immediately deactivate services.

Any unpaid invoices, outstanding balances, or agreed project obligations remain payable after subscription cancellation.

6. Refund Policy

All payments are final and non-refundable, including:

• Subscription fees
• Setup fees
• Project deposits
• Payments for completed work
• Payments for services already provided
• Payments for reserved work or allocated resources

Clients are responsible for reviewing the scope, pricing, and applicable terms before making payment.

However, nothing in this policy is intended to waive or restrict any rights or remedies that cannot legally be waived under applicable law.

7. Client Responsibilities

The client agrees to:

• Provide accurate information and necessary materials.
• Provide timely feedback, approvals, and access credentials.
• Maintain ownership or authorization for materials supplied to us.
• Pay invoices and third-party charges on time.
• Use our services lawfully and responsibly.
• Obtain necessary consent and permissions for data collected through their business systems.

Delays in providing information, approvals, or access may affect delivery schedules.

Ako na po is not responsible for delays caused by the client’s failure to meet these responsibilities.

8. Project Timelines and Deliverables

Estimated timelines will be communicated during project planning.

Timelines may change due to revisions, delayed feedback, additional requests, technical limitations, or circumstances outside our reasonable control.

Deliverables are limited to those described in the approved proposal or agreement.

9. Third-Party Platforms and Services

Our solutions may rely on third-party platforms, including hosting providers, messaging services, AI providers, payment processors, analytics tools, and other software.

These platforms operate under their own terms, policies, pricing, and availability.

Ako na po is not responsible for third-party outages, policy changes, API restrictions, account suspensions, pricing changes, or service interruptions beyond our reasonable control.

Additional charges arising from third-party services may be passed on to the client where applicable and disclosed.

10. AI-Powered Services

AI-powered systems may generate responses, summaries, recommendations, or other outputs automatically.

While we make reasonable efforts to configure and test these systems, AI outputs may occasionally be inaccurate, incomplete, or inappropriate.

Clients are responsible for reviewing business-critical outputs and ensuring that their use complies with applicable laws and industry requirements.

AI automation should not be treated as a substitute for professional judgment, medical advice, legal advice, or other regulated professional services.

11. Intellectual Property

Unless otherwise agreed in writing:

• Clients retain ownership of materials and content they provide.
• Ako na po retains ownership of its pre-existing tools, frameworks, reusable components, processes, and internal systems.
• Ownership and usage rights for custom deliverables will be specified in the applicable project agreement.
• Third-party software, fonts, images, plugins, and other licensed materials remain subject to their respective licenses.

Any transfer of ownership or source files may be subject to full payment of outstanding project fees.

12. Confidentiality

Both parties agree to take reasonable steps to protect confidential business information received during an engagement.

Confidential information will not be disclosed to unauthorized parties except where required by law or necessary to deliver the agreed services.

13. Limitation of Liability

To the extent permitted by applicable law, Ako na po will not be liable for indirect, incidental, special, or consequential losses, including lost profits, lost business opportunities, or losses caused by third-party platforms.

We do not guarantee specific revenue, sales, search rankings, advertising results, lead volumes, or business outcomes.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

14. Suspension and Termination

Ako na po may suspend or terminate services for material breaches of these Terms, non-payment, unlawful activity, or misuse of the services.

Where reasonably possible, we will provide notice and an opportunity to resolve the issue.

Termination does not remove outstanding payment obligations.

15. Changes to These Terms

We may update these Terms from time to time. Updated versions will be published on our website with a revised effective date.

Changes will not retroactively remove rights or obligations that have already accrued.

16. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, subject to applicable mandatory consumer protection and other legal requirements.
